Welcome to the Workopilot AI Digital Workforce Platform. These Terms of Service ("Terms") constitute a legal agreement between you and Workopilot regarding your use of the Workopilot platform, products, and services (collectively, the "Services"). By using our Services, you agree to be bound by these Terms.
1. Service Description
Workopilot provides an enterprise AI digital workforce platform, including but not limited to: (a) AI Agent Platform supporting knowledge Q&A, task execution, and process collaboration. (b) Smart hardware terminals (K1, K2, S300). (c) Industry solutions. (d) WhatsApp Business integration services, enabling the use of AI digital employees through the WhatsApp channel.
2. Account Registration
You must provide accurate, complete, and up-to-date registration information. You are responsible for safeguarding your account credentials. Your account is for use by authorized users within your organization only and must not be shared. Please notify us immediately of any unauthorized use of your account.
3. Acceptable Use & WhatsApp Compliance
When using the Services, you agree to: (a) Comply with all applicable laws and regulations. (b) Not send spam, harassment, or illegal content. (c) Not attempt unauthorized access to our systems or other users' accounts. (d) Not use the Services to distribute malware or conduct cyber attacks. (e) Comply with WhatsApp Business policies, Meta Platform Policies, WhatsApp Business Solution Terms, and all applicable messaging compliance requirements. (f) Use WhatsApp messaging only with explicit user consent (double opt-in) and provide a clear opt-out mechanism (e.g., reply STOP). (g) Not use Workopilot's WhatsApp integration to send prohibited content categories, including but not limited to: alcohol, tobacco, weapons, adult content, gambling, unregulated financial products, prescription drugs. (h) You acknowledge that Workopilot's digital employees are enterprise business applications where AI functionality is ancillary, not general-purpose AI assistants.
4. WhatsApp Business Special Terms
When using the WhatsApp channel through the Workopilot platform: (a) You understand that WhatsApp messaging is provided through a Meta-approved Business Solution Provider (Infobip). (b) You agree to comply with Meta's WhatsApp Business Solution Terms, including the AI Provider terms effective January 2026. Workopilot's AI digital employees are not general-purpose AI assistants; they target specific business scenarios (order processing, document audit, customer service, etc.) where AI is ancillary functionality rather than the primary purpose. (c) You understand that WhatsApp monitors message quality and complaint rates, and excessive complaints may result in number restriction or banning. (d) Workopilot reserves the right to suspend or terminate WhatsApp channel services for violations of WhatsApp policies.
5. Intellectual Property
The Workopilot platform, software, documentation, and all related intellectual property are the exclusive property of Workopilot or its licensors. You retain ownership of content you upload or create through the Services. Use of the Services does not constitute any transfer of intellectual property rights.
6. Service Availability
We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. We may suspend Services for maintenance, updates, or other operational reasons. We will use commercially reasonable efforts to provide advance notice of planned maintenance.
7. Fees & Payment
Service fees are determined based on your chosen subscription plan (cloud or on-premise deployment). All fees are as set forth on the pricing page or in the applicable agreement. Fees are non-refundable unless otherwise agreed.
8. Limitation of Liability
To the maximum extent permitted by law, Workopilot shall not be liable for any indirect, incidental, special, or consequential damages. Workopilot's total liability shall not exceed the service fees paid by you to Workopilot in the twelve months preceding the event giving rise to liability.
9. Termination
Either party may terminate this agreement with written notice. Workopilot may immediately suspend or terminate your account: (a) For violation of these Terms. (b) As required by law or regulation. (c) For extended inactivity. Upon termination, we will handle your data in accordance with our Privacy Policy.
10. Third-Party Services
Our Services may integrate with third-party services, including the WhatsApp Business API (provided through Infobip). Your use of third-party services is subject to their respective terms and privacy policies. Workopilot is not responsible for the actions or content of third-party services.
11. Dispute Resolution
These Terms are governed by the laws of the People's Republic of China. Disputes arising from these Terms shall first be resolved through friendly negotiation. If negotiation fails, either party may file a lawsuit with a competent people's court.
12. Modifications
We reserve the right to modify these Terms at any time. Material modifications will be notified through our website or Services. Continued use of the Services after modifications become effective constitutes acceptance of the modified Terms.
